Terms of Service
The agreement between MC3 Tech Labs and the organization using ChapterConnect.
Draft pending legal review
1. Agreement and scope
These terms govern your organization’s use of the ChapterConnect platform and this marketing website, provided by MC3 Tech Labs (“we”, “us”). By using the platform on behalf of an organization, you confirm you are authorized to bind that organization.
2. Independent product
ChapterConnect is an independent commercial product. It is not endorsed by, sponsored by, affiliated with, or operated by Alpha Phi Alpha Fraternity, Inc., or any other fraternal or membership organization. Your organization’s own name, marks, and governing documents remain entirely your own.
3. Subscriptions, setup fees, and billing
Plans are published with a one-time setup fee and an annual subscription. During the current foundation phase, online subscription checkout is not active: plans are quoted and invoiced directly. No card is charged through the platform until online billing is explicitly enabled and approved.
Published prices are catalog prices. Where a negotiated price, trial entitlement, or customized scope applies, the agreed commercial terms in your order documentation govern.
4. Customer data and tenant isolation
Your organization owns the data it places in the platform. Each chapter’s records are stored with a chapter identifier, and access is verified on the server for every protected operation. We do not disclose one customer’s data to another.
We do not import data from an external production system without written authorization, and we do not treat unverified imported records as authoritative.
5. Acceptable use
Use of the platform is subject to our Acceptable Use Policy, incorporated into these terms by reference.
6. Financial features are not accounting
ChapterConnect is not accounting software and does not provide a general ledger, tax advice, or audit services. Where accounting integration is enabled, your existing accounting system remains the system of record. Operational figures displayed in the platform are not reconciled accounting balances and must not be relied upon as such.
7. Governance features
Where governance features are made available, they assist your organization in recording meetings, attendance, eligibility, motions, and votes. Your organization remains responsible for configuring its rules correctly and for the governance decisions it makes. Certified results are protected against unauthorized modification, but certification is a decision made by your authorized officers.
8. Availability and support
Support commitments correspond to your plan. Enterprise agreements may include expanded commitments and a dedicated contact, as set out in your order documentation.
9. Warranty and liability
[REVIEW REQUIRED] The platform is provided on an as-is basis to the extent permitted by applicable law. Limitation of liability, indemnification, and warranty language must be finalized with counsel before commercial launch.
10. Changes and termination
We will provide reasonable notice of material changes to these terms. Either party may terminate as set out in the applicable order documentation. On termination, your organization may export its data within the period described in your agreement.
